Provider and social media may hereinafter be referred to individually as a “Party” and collectively as the “Parties”.

1. Subject of the Agreement

The First Party agrees to provide hotel rooms at commissionable rates to the Second Party, who shall act as a non-exclusive distributor to sell and promote these rooms under the terms set forth herein.

2. Obligations of the First Party (Provider)

  • Provide 20% commissionable rates via coupons or affiliate links.
  • Keep room rates and information updated.
  • Send invoice upon reservation and payment.
  • Issue booking confirmations within 24 hours.
  • Ensure accuracy and compliance with regulations.

3. Obligations of the Second Party

  • Guests book via the agent’s link and submit full details.
  • Cancellations: See Annex 1.
  • Payments completed in system.
  • Monitor sales for commission tracking.
  • Maintain confidentiality of net rates.

4. Confidentiality

The Second Party agrees to keep commercial terms and pricing confidential for 2 years after termination.

6. Liability

Each Party is responsible for its own negligence or omissions.

7. Payment Terms

  • Guests can pay online by Credit Card.

8. Governing Law & Jurisdiction

Governed by the laws of Florida, USA. Disputes handled amicably, then via Florida courts.

Annex 1 – Cancellation Policy

  1. Cancellations 160+ days before arrival: 50% charge.
  2. Cancellations 159–59 days before arrival: 80% charge.
  3. Cancellations within 60 days: 100% charge.
  4. Commissions transferred monthly on paid & confirmed bookings.
